NQ Dry Tropics is seeking a suitably skilled and qualified Director — Grazing to join its Board of Directors. The role requires someone with an understanding of, and extensive networks into, the grazing production sector.

About Us

VISION: Healthy landscapes and thriving communities in the Burdekin Dry Tropics.

PURPOSE: Empower the Burdekin Dry Tropics community to sustainably manage land, water, soil, plants, and animals.

NQ Dry Tropics is an independent, not for profit company delivering extension, training and on-ground work to improve:

  • landscapes — healthy natural and Cultural resources.
  • livelihoods — profitable primary production to support vibrant regional economies; and.
  • communities — strong, resilient and connected.

Formed in 2002, we work with hundreds of partners to deliver science-based projects focused on:

  • supporting practice change and repairing landscapes: working with land managers to improve ecological sustainability, resilience and profitability of farming enterprises, and reduce impacts on the Great Barrier Reef.
  • protecting ecosystems and threatened ecological communities: rehabilitating critical landscapes, habitats and species.
  • Traditional Owner empowerment: supporting First Nations people to connect with, and heal, Country; and.
  • planning: leading and participating in planning for sustainable management of natural resources.

Board Background

The NQ Dry Tropics Board has overall responsibility for setting the organisation's strategic direction and ensuring its financial viability. It comprises between seven and nine skills-based directors, including a Chairperson and Deputy Chairperson. The current Chairperson is Mr Les Tyrell OAM. The board is supported by a Company Secretary, and two functional committees; a Finance & Audit Committee and a Nominations Committee.

Directors are appointed for a term of three years, are eligible for re-appointment for up to two further consecutive terms of three years each, and are paid a sitting fee and remunerated for travel and accommodation costs.

Eligibility

Directors must be a member of NQ Dry Tropics. If not a current member, nominees need to apply for membership. Applications for membership are approved by the board.

Under the Corporations Act 2001 (Act) a director must:

  • be an individual, not a body corporate.
  • be at least 18 years of age; and.
  • not be disqualified from managing corporations under Part 2D.6 unless the appointment is made with ASIC's permission as provided for under s 206F of the Act or leave is granted by the Court under s 206G of the Act.

Responsibilities

Board meetings take place every two months, generally on a Friday, and last less than a single working day.

Directors are required to act in accordance with the NQ Dry Tropics Constitution, NQ Dry Tropics Governance Policies and any other relevant NQ Dry Tropics' policy as well as the Corporations Act 2001.

It is expected that directors will fully contribute to the board's work, operate well as part of a team, and act with integrity and good faith at all times, and in the best interests of NQ Dry Tropics.

Requirements

Generic.

All directors should:

  • possess well-developed communications skills and the ability to work with and influence a range of stakeholders.
  • work constructively with other board members, and have the ability to engage strategically across all matters at hand.
  • possess an understanding and experience of good practice relating to governance of organisations.
  • utilise personal and professional skills, networks, relationships and knowledge, to lead the advancement of NQ Dry Tropics.
  • possess the skills and ability to contribute to strategic direction, financial management and performance monitoring.
  • be accessible for personal contact in between meetings.
  • prepare in advance for any major issues before the board.
  • participate in review processes; and.
  • contribute to NQ Dry Tropics' growth and viability through leveraging their existing networks and helping to develop new ones.

Specific.

The Director — Grazing should:

  • possess a deep understanding of all facets of the grazing production sector.
  • have extensive and constructive networks within the Burdekin grazing production sector.
  • bring a solid understanding of the sustainability issues facing the farming sector; and.
  • be well-regarded within the farming and wider community.
